These Terms of Service ("Terms") govern your use of services provided by Spicy Riffs Web Design ("we," "us," "our," or "Company"). By engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Services

Spicy Riffs Web Design provides web design, development, SEO optimization, and related digital marketing services as outlined in your project proposal and contract. We will perform services in a professional and timely manner according to industry standards.

2. Payment Terms

• • Invoices are due within 30 days of issuance unless otherwise specified
• • Late payments may result in suspension of services or project holds
• • A 1.5% monthly interest charge applies to accounts more than 30 days overdue
• • All prices are in USD and do not include applicable taxes

3. Client Responsibilities

As our client, you agree to:

• • Provide timely feedback, content, and materials needed for project completion
• • Respond to inquiries within a reasonable timeframe to prevent project delays
• • Ensure all content provided does not infringe on third-party intellectual property rights
• • Obtain necessary approvals from stakeholders before project sign-off
• • Maintain accurate and current hosting and domain registrar information

4. Intellectual Property Rights

Upon full payment, you retain ownership of custom content you provide. We retain ownership of our original design, code, and creative work. You receive a license to use the deliverables for your business purposes. You may not reproduce, redistribute, or resell our work without written permission. Custom code and designs created specifically for your project remain our intellectual property but are licensed exclusively to you for the purposes stated in our contract.

5. Warranties & Disclaimers

We warrant that:

• • Services will be performed in a professional and timely manner
• • Deliverables will be free of viruses and malicious code
• • We have the right to license all work to you

However, we do not warrant:

• • Results such as search rankings, traffic, or sales
• • That services will be error-free or uninterrupted
• • Compatibility with all browsers, devices, or third-party services
• • Uptime of external hosting providers or third-party platforms

6. Limitation of Liability

In no event shall Spicy Riffs Web Design be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business interruption, even if advised of the possibility of such damages. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

7. Project Scope & Changes

The project scope is defined in the signed proposal. Change requests outside the original scope may result in additional fees and timeline extensions. All change requests must be submitted in writing and approved before implementation. Failure to provide required materials or feedback may delay project completion.

8. Revision Policy

Included revisions are outlined in your project proposal. Additional revisions beyond what is included may incur extra fees. Revisions must be requested within 30 days of project delivery. After 30 days, a new project proposal may be required for additional changes.

9. Termination

Either party may terminate a project agreement with written notice. Termination does not waive payment obligations for work already completed. Upon termination, we will provide deliverables only for completed work. Projects terminated mid-stream may be charged at our hourly rate for partial work.

10. Maintenance & Support

Post-launch support is outlined in your service agreement. Support includes bug fixes and minor updates. Major feature additions or redesigns are separate services and will be billed accordingly. Hosting, domain renewal, and SSL certificates are your responsibility unless otherwise included in your package.

11. Third-Party Services & Plugins

Our websites may integrate third-party services, plugins, or APIs (e.g., payment gateways, analytics, hosting platforms). You agree to comply with the terms of service of all third-party providers. We are not responsible for third-party service outages, data breaches, or policy changes.

12. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. We may use anonymous case studies and portfolio examples of completed work, unless you opt out.

13. Indemnification

You agree to indemnify and hold harmless Spicy Riffs Web Design from any claims, damages, or costs arising from your content, your use of the website, or violation of these Terms. This includes claims of intellectual property infringement for content you provide.

14. Payment Disputes

If you dispute a charge, you must notify us in writing within 30 days. Chargebacks and payment reversals may result in legal action and collection fees. Disputed projects must be documented in detail, and we will work toward resolution in good faith.

15. Governing Law

These Terms are governed by the laws of the State where Spicy Riffs Web Design is located, without regard to conflicts of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in that jurisdiction.

16. Modifications to Terms

We reserve the right to update these Terms at any time. Changes will be effective upon posting. Your continued use of our services constitutes acceptance of modified Terms. For material changes, we will provide notice via email.
